you don't understand. there is not a sale through an MM on the fractional shares.

Effectively, the cash in lieu of fractional shares represents a distribution FROM THE COMPANY to "buy" fractional shares in an off-market transaction.

EDIT: for tax purposes, this looks like a sale of the fractional shares for proceeds in the amount of the distribution. To Schwab or any other broker, it looks like a dividend from the company that they credit to your account
