although there is a definite price and quantity attached, what happens if the total shares investors are willing to sell are less than 10mil?

They will likely request these shares in certificate form and hold them that way versus buying shares from the float that could be phantom shares created by potential naked short sellers.

I am not saying shorting is occuring, just giving reason.

They also will likely only be able to buy so many shares per day. This way US News will just purchase shares directly from shareholders versus buying them on the open market.

Also, think about what is coming up. Q1 financials along with an uplisting to the OTCQB is coming. US News likely wants to have the float shares stored away in their coffers before this information is released. They can purchase the options at a later date. They are focusing their efforts on buying as many shares as they can in the limited time they have before HNSS releases pending news.
