Left Behind Games Inc., a Nevada corporation (the “Company”), hereby notifies its stockholders of record that the majority of
shareholders signed a written consent on February 17, 2011 at the Company’s offices, to vote on the following proposal:

To amend the Company’s Certificate of Incorporation to increase the authorized common stock from five billion
(5,000,000,000) shares to ten billion (10,000,000,000) shares.


The Board of Directors decided to increase the Company’s authorized common stock to 10 billion (10,000,000,000) shares to give the Company additional ability to issue shares in future financings or corporate transactions, if any, or for compensation for services rendered by various individuals or entities.
