Sinkman: I believe that e.Digital's complete refusal to publicly discuss or even confirm their involvement in Wecor's new embedded digEsystem is very, no VERY, good reason to doubt that e.Digital has any revenue generating role in this product.

Other very, VERY good reasons to doubt it include the following:

- e.Digital's lack of FAA required ISO certifications for design and manufacture of installed aircraft components.

- Maycom's lack of FAA required ISO certification (they are only IS0 2000 certified if memory serves).

- e.Digital's complete lack of expetise in designing systems to be installed in aircraft, the engineering of which is utterly different than portable consumer electronic devices.

- The fact that the operations of the embedded system will be substantially different with different user controls, content updating, security, and need to tie into the PA system of the aircraft.

- e.Digital's insolvency, total lack of credit-worthiness necessitating high-risk up-front payments and substantial doubt about its ability to continue as a going concern.

- Wecor's expertise with aircraft components and connections in the aircraft component industry and the financial wherewithall to hire or contract for additional specific expertise.

- The fact that the system will involve components that will be ordered from properly certified manufacturers and installed into seats by FAA qualified entities. There is no role for manufacturing an end product at there is for the portable player.

- e.Digital's 9/2004 press release about having "unveiled" working prototypes of an embedded digEplayer is contradicted by public records showing that it was actualy Inflight Canada that did so.

Given the above, e.Digital offers absolutely nothing to Wencor in the development or manufacturing of the embedded digEsystem. On the other hand e.Digital's financial situation creates major risks and uncertainties that are completely unacceptible.

Is there really anything substantial to support the hope that e.Digital stands to make millions of dollars from Wencor's digEsystem?
