I have had two PIPE deals cross my desk in the last month. One made no sense, at first: they were profitable, they had a large share of the Chinese market, they had top-notch management, and they were sitting on a sizable chunk of cash. I called the broker/dealer who sent it to me and asked him why they chose a PIPE. The answer should have been obvious: to convert a public company into a private company at a discount to market.
