#22878 RE: Bountiful #22877

The emails were not sent to David Price. The emails were sent to info@elmaniel.com

Whomever received them at info@elmaniel.com then sent them to mlgroup88@yahoo.com

mlgroup88@yahoo.com is the email address referenced in past PR's, to be David Price.

David Price then sent the email to an individual named "Mark" at ir@elmaniel.com with the following wording:

"Mark:

Kindly handle this enquiry acccordingly -- please be informed that our project activities are financed by internal funding...

Thank you"

Simply Google the email address mlgroup88@yahoo.com and you will see the release from May 27, 2010

http://newsguide.us/index.php?path=/business/investment/El-Maniel-International-Inc-EMLL-OTCBB-Announces-Acquisition/

Go to the bottom to see this:

Contact: (202) 536-5191
e-mail: mlgroup88@yahoo.com

Then dial the phone number:

"You've reached the law office of David Price"

Now, who is ML Group, and why is David Price utilizing the mlgroup88@yahoo.com address to begin with?

David Price appears to be legal counsel for many companies, and secretary as well. It is my opinion that the gentleman must still be playing a secretarial role for El Maniel.

A bit about David Price:

He is a principal of Top Tier, LLC, a Washington, D.C. law firm specializing in representing small public companies with his practice focused on corporate law, securities matters, internal investigations, white collar issues and arbitration / mediations. Mr. Price has Bar affiliations with Maryland, United States District Court (Maryland and District of Columbia), United States Court of Appeals, 4th Circuit, and the Supreme Court of the United States. He is a member of Corporate Lawyer’s Association, Euro-American Lawyers Group, Association of U.S. Securities Attorneys, and the American Bar Association. Mr. Price received his Bachelor of Arts degree from the University of Maryland and his Juris Doctor from Antioch (DC) School of Law.

It just takes a little bit of digging to get answers. I sure wish others here would dig a bit deeper instead of expecting others to do the work for them

Further information on David Price, which may prove helpful if he is still, indeed, with El Maniel. And if the gentleman is no longer affiliated with El Maniel, then perhaps the managing members of EMLL would be inclined to state so in one of their filings, or in the next PR.

Top Tier is a boutique niche comprised of Corporate/Securities Attorneys, Finance Analysts, and select Auditors and Equity Investors. Our managing Principal is David E. Price, Esq

David has lived both in America and abroad & is fluent in several languages. He has had a varied background, having worked in the Diplomatic Corps in the Israeli Foreign Office as well as a Congressional Aide on Capitol Hill, and General Counsel to consultants at the World Bank as well as the IDB and IMF in Washington, DC. He worked for 10 years as a corporate attorney at the International Law Firm in Washington DC before breaking off to form Top Tier in 2005.

As David tells it, “My main impetus for leaving a lawfirm was to do legal work!” Simply put, the mentality of the lawfirms for niche work such as securities matters is really focused more on retainers, billing & “CYA” than an entrepreneurial engagement to “get the job done”. Since lawyers are used to thinking in an adversarial perspective – which is a “zero sum gain” mentality – I found that on many transactions they were becoming the impediment to swift closure when both sides actually had a solid deal. While the first two yearsof Top Tier was anything but predictable, it has surpassed all our expectations. We have built a truly fine network of like-minded entrepreneurs who are always available to offer their insights and energy in pursuit of a common goal.

"I have particularly enjoyed the very personal connection that I have with my clients. They have learned to include me in their brainstorming sessions long before they will need to use me as an attorney, per se. This has allowed all of us to “talk out loud” about any and all issues – debt financing, securities matters, auditing requirements, etc. This helps me from my end to see where we are going long before I have to “draft” or “file” anything. What I believe businessmen should be paying their lawyers a premium for is their knowledge & insight, and not their actual legal work. Any idiot can send documents to have them Edgarized, but it is the discussions of the previous 90 days which will truly determine how well the deal was done. This is precisely where we stand out from the crowd."
