The shares themselves are legal, it's the way in which they were sold which is illegal. You'll notice that nowhere did the SEC state that those shares should be removed from the float.

The SEC is only saying that Gendarme sold the shares illegally, before the restriction had expired.

Not that the shares were never issued, or somehow don't exist.
