Sorry ... the SEC clearly says that Gendarme "acquired" the shares from the Issuer (RCCH) and that "these shares" were then sold.

Keep trying to spin it but the English is very clear.

The legal opinion was the only Illegal document. Multiple legal opinions were most likely required to enable Gendarme to buy and remain under the 5% Threshold limits on RCCH.
Gene must have assisted in this regard.
