Yes, fully diluted OS is ~163M common shares. Float post-split would be ~3M common shares. At $.50 would equate to a market cap of $1.5M. Sales for the year 2010 projected at $1.8M. Profitable. Growing. Etc...

(1) BS, sperber, somehow, apparently, managed to hang onto 60,000 preferred shares. They can convert to 600,000 common shares. He'll wait until after the reverse split to convert, obviously, in my opinion, as the preferred shares will not be split.

(2) The remaining 15,940,000 preferred shares can convert to ~160M common shares



Where in the financials does it say that the preferred can convert to common at 10/1? 15,940,000 represents 51% interest of the company according to the interim financial report.

Conversion into Common Stock.
(a) Right to Convert. Each share of Convertible Preferred Stock shall be convertible, at the option of the holder thereof, at any time after one year from the date of issuance (the “Conversion Date”) into ten (10) shares of fully paid and non-assessable shares of Common Stock (the “Conversion Ration”).
