I was also counting with someone support on this too... If someone can help us, I'll appreciate.

I have some ideas on this one, but not 100% sure, so I prefer not to say what I'm not sure...

"Spin-off" and "ex-dividend" terminology:

The dividend is likely referred to as a spin-off dividend because the dividend is in shares of a different company rather than shares of SSPT.

When SSPT bought GuestMetrics from GESM (now CLDR) for $5 million in SSPT restricted shares, owners of GESM stock as of the record date received restricted shares of SSPT.

Dividends of any kind can cause income tax to be owed on the dividends, even if they are in stock.

Ex-dividend definition;

This literally means "without dividend." The buyer of shares when they are quoted ex-dividend is not entitled to receive a declared dividend. It is the interval between the record date and the payment date during which the stock trades without its dividend-the buyer of a stock selling ex-dividend does not receive the recently declared dividend. Antithesis of cum dividend (with dividend).

The FINRA notice said that SSPT would "not" be quoted ex-dividend, so I don't know how that works. It should be clarified by the company or perhaps the TA can explain it.
