Instead of OPINIONS, the documents clearly state that:

1.3.4: Safeguard may appoint 2 board members to the BOD, JASON ROTH and a representative appointed by Concorde Capital.

This does NOT indicate that ANYONE from SM EXCEPT Jason Roth has a seat on the BOD - so where do you get that the other 35% has ANY control?

1.3.5: States that ASR will utilize the services of SM for engineering and QC (specifically the Mr. Adkins you mention), such services to commence AFTER $1 million in new sales.

In my opinion, since the NDD was designed by Mr. Adkins (according to the FDA documents), it would only make sense to utilize his services for this product line. Simple business 101.
