The mechanics are kinda funny, but not to "outsiders" as opposed to insiders.

R/S big enough to wipe out smaller holders down to fractional shares and get the total under 300, pittance of a cash payment for the fractionals or small profit for new buyers, immediate forward split, no more filing, no more trading other than privately or possibly some pinkee stuff.
