This form is required any time there is a change in an insider's benefial ownership--for example, by an open market purchase or sale, or an aquisition, exercise or conversion of options or derivative securities(e.g. puts, calls). It must be filed by the end of the 2nd business day following the transaction.

I don't see where gifted shares are covered by this but there is no explanation for the delay in the other filings by Nick, Clint or Donna.
