I believe the info in the S-1A exceeds the requirements of the Q, so as long as they file the S-1 A they should be in compliance if/when the uplist occurs. They have not been filing Q's and K per se, but again, I believe the info in the S-1A covers them.

Mint, I think its safe to assume, with the filing of the S-1a on Friday without the 3rd Qtr Numbers, shareholders will not be getting the Financials for the 3rd Qtr soon.

It makes no sense to file the S-1a on Friday, without them.

IMHO, shareholders should play accordingly.
