Well, twice isn't exactly many times. And I said at least 5 times that the state of incorporation SOS needed to be updated once a year. In fact, another poster here called and confirmed that and posted the info to keep me honest.
But to answer this particular situation - IDCN was able to EASILY do this because while they were registered in one state, they filed new AOI's in another state. There was no way anyone here could have known to look in another state without going state to state and checking every SOS web page (since there is no national database). Even the Dunn and Bradstreet files still show the MT registration.
Unfortunately there are many loopholes and ways to manipulate things - and Jeff just took advantage of one of them. There is no honest reason why he would have done this - it is clearly for one reason and one reason only - to obfuscate the dilution.
