offor only owns 43% of this company. he never had over 50%. it is only 9 million shares however.

they sold shares of common stock and did not issue cvtbles,bonds, or preferreds.

now dilution may be another story...depends on whether assets are bought with the 2mm or just poofed off for "admin costs".
