The SEC's complaint charges Jacobson with violations of the antifraud and registration provisions of the federal securities laws, as well as reporting, internal control and certification provisions. Without admitting or denying the Commission's allegations, Jacobson consented to settle the charges and agreed to a permanent injunction against future violations of the federal securities laws, a $50,000 penalty, an order barring him from serving as an officer or director of any issuer for a period of five years, and an order barring him from participating in any offering of penny stock for a period of five years.

This is an attempt to clarify the association of Atlas and their CEO Jacobsen back in 2007. The following is an old 2007 News Release. It is posted here to clarify KAT Explorations dealings with Atlas.

Atlas Mining Company's Exploration Partner Signs Exploration Agreement
Posted on: Thursday, 18 January 2007, 09:00 CST OSBURN, Idaho, Jan. 18, 2007 (PRIME NEWSWIRE) -- Atlas Mining Company (OTCBB:ALMI), announced today that its 50% joint venture partner, KAT Exploration, Inc., has entered into an Option Agreement with Celtic Minerals, LTD, an Alberta based company. Under the agreement, Celtic has the right to acquire 75% of the jointly held Colliers property on an earn-in basis. Celtic intends to immediately start a drilling program.

It is my understanding that this joint venture deal did not go thru and you will note that KATX now owns the Collier Property alone.

Atlas Mining was a separate entity and the fact that there was a possible Joint Venture in the past (in 2007) does not throw any suspicion or guilt upon KATX. I see no reason to associate the CEO (Jacobsen)of Atlas with KATX more than the fact that he was head of a possible joint venture partnership that failed before it ever got off the ground.

Anyone who in business in good faith tries to do business with a crook before it is known that he is a crook, is not guilty of anything. I am glad that the joint venture did not succeed. So we could remain clear of any fallout from Atlas and their CEO.
