WOW! Is this a serious post??? Why inform of a shareholder meeting that "your vote can't even sway?" "Why," because it's illegal under Delaware (and almost every other state's security law) law to hold "secret" shareholder meetings. Even private companies have to consider minority shareholder rights. That post is a REAL headscratcher. At least the "7/4" fireworks/celebration posting could be taken with some humor, but saying shareholders don't need to be informed is totally inaccurate, and if it was done - it's illegal. There's a FIDUCIARY duty owed by the BofD and by corporate officers - undercutting that duty is illegal as hell. And no directors liability policy is going to cover that.
