The last line of the article (and apparently the memo) is the one that strikes me.

It says the PUC staff intends to stay on top of the discussions -- I think this might make it very hard for PSNH to negotiate in anything other than good faith. I am pretty sure they don't want to get scolded by the PUC, the very organization that determines their rate of return.
