HRH, this transaction may not have had any reportable personal income effect on Jerry Polis.

Even though ASI was a publicly traded company, Jerry was the majority shareholder.

For whatever reason, Jerry decided to sell ASI and, because the buyer of ASI did not want them included in the transactiion, he had to dispose of the EDIG shares shares ASI and its subsidiary had received as loan payments from EDIG that were still considered restricted stock.

This re-sale transaction of restricted shares was apparently below the market trading level at that time.
