I was referring to key employees - people where they might get a signing bonus or some sort of option package before walking in the door. Regular employees (administrative, low level people aka grunts) who may get options as perks rather then a contractual pay package still can have them vest upon changes in control but I can't say how rare or common it may be. But my original post was just to explain how I look at fully dilluted when I try to calculate "real" # of shares outstanding - as a rule of thumb I take on 10% to the reported share #'s for most techs when I am trying to do quick calcs.
