Any buyer of 5% or more of the o/s of a publicly traded company must file accordingly with the SEC.

I believe the new rules says, any insider can buy or sell a stock as long as any profits realized within 60 days from a buy/sell are turn over to the company.
Anotherwards if they hold the shares 61 days b4 selling then the profits are theirs.
