Wrong again. The board members each get one vote -- their common shares are completely irrelevant to board of directors vote.

All members of the board of directors get 1 and only 1 vote.

You are confused about the difference between voting via common shares on items at annual meetings and voting for compensation at the board meetings. The common shareholder doesn't vote at those. Only the members of the board of directors do.
