Im a bit unclear how the ownership breaks down because Needham itself is only listed as having I think 800k shares.

Either way the underlying point is they already have shares available to unload if they want to.

My best guess is they are intended for conference participants but its still possible they would just rather hold the common. I like the second scenario better.
