Think logically, would you take 6,000,000,000 shares if you thought the stock was worthless? Redwald Investment Group doesn't think so either. They have to know there is a deal otherwise they would simply say, "See you in Bankruptcy Court." The 6 billion shares are larger than your holdings, mine, and most other's combined. Redwald is going to make 30x their investment for waiting. There also must be a reason in the loan contract why the Company doesn't do the deal first then pay the note holder. We can speculate until the cows come home but none of us are at the table.
