MDT Acquires OSTE for $6.50/sh in Cash (65% premium)

[MDT has a long history of small acquisitions, as is common in the medical-devices arena. That the buyout price is a 65% premium to yesterday’s close is somewhat surprising because OSTE had not made a secret about the company’s for sale.]

MEMPHIS, Tenn., Aug. 17 /PRNewswire-FirstCall/ -- Medtronic Inc., (NYSE:MDT) and Osteotech, Inc., (Nasdaq:OSTE) today announced that the companies have signed a definitive agreement under which Medtronic will acquire Osteotech for $6.50 per share in cash for each share of Osteotech common stock. The total value of the transaction is expected to be approximately $123 million.

Osteotech is a leader in the growing field of biologic products for regenerative healing, and has pioneered several innovative technology platforms including Grafton® demineralized bone matrix, a family of products which has a large and growing body of evidence supporting its best-in-class bone generating capabilities. Osteotech's differentiated portfolio of biologics also includes MagniFuse™ Bone Grafts and Plexur® Biocomposites, which are utilized in a broad range of musculoskeletal surgical procedures. In addition, Osteotech is in the midst of seeking U.S. Food & Drug Administration clearance for the first product based upon its first-in-class HCT™ (Human Collagen Technology) platform, an engineered human collagen biomaterial.

The acquisition of Osteotech will complement the Medtronic Biologics business' bone healing portfolio and expand its current presence in spine, orthopedic trauma, and dental into several additional new treatment areas including joint reconstruction, foot and ankle, and sports medicine. In addition, the combined technical and product capabilities will create opportunities to develop breakthrough next-generation products.

MDT’s renal denervation system fails phase-3 trial for lack of efficacy:

Medtronic said it would halt ongoing trials of the device in the United States, Japan and India.

The device was launched in Europe in April 2010, but its adoption was slow as austere governments were reluctant to pay for the unconventional technology. [As noted here on many occasions, medical devices have a low regulatory threshold in the EU and many other ex-US countries.]

Several other medical device makers, including St Jude Medical Inc and Covidien, are also making devices aimed at treating high blood pressure. These devices work by creating tiny scars along nerves in the kidneys… This scarring process is carried out by threading a catheter through the renal arteries from the groin. It deadens the nerves and decreases blood pressure.

MDT is taking an $800M write-off for this program.
