i think your concerns are easy to de-fuse. i dont believe the EC overstepped in any manner.

here is the gist in a nutshell, and when analyzing it, consider what the judge could say/do. zilch, really.

The Committee was not involved with, and does not support, the Proposed Settlement (based on all available information). At this time, the Committee intends to object to the Proposed Settlement.

key wording: "at this time,..... intends..."

I dont know but, I think the main reason they did this was to limit the selling of the stock... Remember pre 3/3/10 share holders only, vote on the BOD issue. imo

IMO, EC cannot talk to anyone re: issues at hand, however, so long as EC informs the "general public," and not select individuals, then there is no breach or insider information has been passed since everyone has the same access
