That, IMO, is their complaint. The shares were sold to Carnes as restricted, the registration would be part of the paperwork with the TA, to release them for sale. The share counts involved match up pretty closely with the various 'restricted shares' that Jared gave away at '5 times the current SP' over the course of several months.
