The posting of the Form D is only associated with 504 fillings that was done in the form of a CD, at which a company as the ability to raise $1 million. That Form D was in effect some time before the posting on 10/16/09(about 3 months ago). As anyone knows raising money for a new Pink Sheet company is very challenging and after we had the misfortune of having our stock nearly destroyed by a group who slammed our stock from .20 on a Tuesday and drove it to .02 by Friday(4 days) and then the next week they crashed it below a penny and threw us to the dogs(Depressing would be an understatement).
With my life savings and a home I re-mortgaged to keep the company going, I had to either let the company die or fight it out with the Form D 504, which was the only form of funding available at that time. While we could raise $1 million from the 504, we raised just $400K( not $57K from 2 people)and then stopped the 504's by turning down literally dozens of offers as they can be dangerous.
However, for anyone who may find fault with the Form D CD, we worked tirelessly and against all odds brought the stock all the way from .0015 to where it is today and not finished yet.
So anyone spreading fear instead of commendation is defeating the whole purpose(unless the purpose is to drive the stock down and make investors suffer and Kat to continue to sweat it out in trying to move the company forward)
We know that most who post to the message boards(which I've never been on or seen and never will be) are sincere investors, but on the other hand sitting on the sidelines is a great place to find fault with the company. Try running it, when you have to carry the load of investors concerns, substantial projects that need money and work and keeping up with the public side which is extremely time consuming and very taxing. I take no holidays and will be working right through Xmas so as not to get behind.
Whatever concerns anyone has over the Form D, let the record speak for itself. Whatever moves this company may make in regards to raising money that might be promoted in a negative way can rest assured, that company management has everything on the line and would be fool hearted to do anything to jeopardize what as become our livelihood and we do appreciate that investors have placed their confidence in us and we want to show that by taking this company to where it deserves to be in hopes of their making good on their investments.

Have any of you folks read the FORM D filed on 10/16/09? KATX offered a "CD"/ Convertible Debenture for what $1,000,000.00!! The funny part is that they could only sell $57,000.00 of it to 2 people. Wonder "who" those 2 people were.

IF YOU DON'T UNDERSTAND HOW A CONVERTIBLE DEBENTURE WORKS, PLEASE RESEARCH IT. THEY CAUSE A "DEATH SPIRAL"!!! the lower the pps goes from the issue date the more shares need to be DILUTED!! to pay back the CD holder(s).

NO BAKERMAN. IT COULD NOT BE STOPPED!! THERE ARE NO FILINGS STOPPING THE CD.

No Leigh I am limited to only one post a day on this board so I post once a day. Read the history here. The don't like truthful posting here so they BANNED me and who knows who else. Most folks just left the board. Have your friend unban me and I'll give you several good posts a day, everyday.
