Which is the SEC's info page on microcaps. It explains who must file reports and who is not required. below is a portion that explains it in a nutshell. If you look around in there it might lead you to the statutory framework. Good luck.

Which Companies Don't Have to File Reports With the SEC?
Smaller companies — those with less than $10 million in assets — generally do not have to file reports with the SEC. But some smaller companies, including microcap companies, may choose voluntarily to register their securities with the SEC. As described above, companies that register with the SEC must also file quarterly, annual, and other reports.


PS: It looks like companies that elect to continue filing updated reports are trying to be honest. SPNG seems to file 8K's, but now I'm wondering as you noted why the they haven't filed an NT-10Q.
