How much clearer do you need it. Nowhere in US law is prior restraint of speech allowable. The SEC can take action against false and misleading public claims; they cannot and do not rule in advance on corporate communications.

It is amazing that people attribute such sweeping power to the SEC, which is probably the weakest US regulator.
