I got my love letter email regarding the vote.... why can't this happen about the same day we announce a partnership for our technology? Can't we actually get good news? Must it always be a depressing news event? Can't it be a positive surprise?

When is the special shareholder meeting again? I believe Varney still has several weeks to show us the money. If not, I see no earthly reason to support the increase in total shares. The purpose of the special meeting should lead to a defeat in this proposal and swift sale of the company. No additional options for management and, hopefully, the BOD will provide oversight at a difficult, crucial time.

Again, I believe Varney speaks honestly and has worked hard. The question is this: is it a bridge too far? Is the deck too stacked against Cortex' based on circumstance, history, cash on hand and market cap. If this is the case, Cortex would clearly be worth more in a sale, liquidation process as contrasted to raising a few million dollars by diluting the stock by 100 million additional shares.
