It's actually 300 shareholders of record, not the "500" you posted.

Of course street shares count as a shareholder.

That's a gray area. If you go back and look at the actual wording of the registration requirements in the Act of '33 or '34, whichever it is, you'll see that it references "people" holding stock, not "shareholders of record", as in "cert holders".
