bobber but this isn't a merger. The reporting company is aquiring the assets of the company not the stock.

You are receiving 1 share of this company and you have no idea what company it is, what it currently traqdes for, what they are paying for the BEHL assets, how they will pay for it, how many shares are currently outstanding and how many shares will be outstanding after the aquisition.

This is not really a merger when your shares aren't being bought and you get no consideration for your stock other than 1 unknown share of unknown value and the ability to keep the BEHL shares which will be for an empty shell.

The companies are not merging, the assets are moving into a reporting company. The stock is not moving with it.
