five day grace period? maybe it has to do with the lag between the due date, and the date SPNG officially gets an "e" added.

just a thought.

Ok, so if you were like me, you might have called Bill yesterday
afternoon to ask him what was going on and if we were going to see the
10K. Also, you may have been directed to his FULL voicemail. Well he
called me back this morning at 7:45 ct, and I got to pick his brain
for about 5 minutes.

1) To answer many threads that are posted on here...the stock buy-back
is not yet complete, nor will it be until February 2010. It is an
ongoing "project".

2) The 10K form was submitted to the lawyers yesterday morning and
then to the auditors. The delay is due to quote, "Our new auditors,
which you know will be taking over from this point forward wanted to
look at the statement, and they found an area that they think needs to
be looked at a bit closer. They think there is a way to make the
bottom lie even better." He didn't explain too much but he referred
to international taxes a few times.

3) Bill said that there is a 5 day grace period for submitting the
statement before they need to issue an extension. I asked for his best
guess as to when it would be out and he said, "Friday at the latest,
more likely in the next day or two though."

4) I also asked if he had the August sales numbers and if they would
put out a PR. He said yes they have the numbers he saw the totals
yesterday and that we should look for a PR sometime today.

I hopethis helps ease a few people's nerves....the good news is coming
just another day or so. DON'T panic and sell!!

I am not trying to influence one way or the other, but this post makes the absolute most logical sense of anything I have read regarding the timing of the 10K.

It sounds just like something D&T, E&Y, KPMG, or PWC might detect as far as int'l tax codes. They know this kind of stuff, being global in the capacity that they are...and VATs are a pain in the a$$ on EU sales.

It sounds right on the money to me.

I love this misspelling:

"They think there is a way to make the
bottom lie even better."

That's awesome. "the bottom lie". I'm gonna have to use that sometime.

Ninja thanks. For me as a long to see plans happen for NAsdaq or company gets bought just not a big deal. Just too many big plans in the works to move us up. That is a major reason why we hired a D & T big 4 firm and why they take us on as a client. It is not to stay a small OTCBB.

That is rubbish. So the SEC has made up new rules just for SPNG? Where can this exception be found on the SEC site?

According to ALL historical precedence, the NT 10-K MUST be filed by 5:30 or, about two days later, this will become SPNGE. NO exceptions.

This from the same fool who has been quoted as saying there's a huge huge short position over 1 billion shares? Didn't someone say this problem comes from Singapore?

This is all very funny....or not, for shareholders.
