If it's a Private company,, a public one can issue and option to recieve shares of the private, in which at that time then a regestration can be made. Why do it before the fact, when it can be done the same time the offer is being made. Privat is just that... Does NOT have to show nothing before making a request to go public. There is wher the word OPTION comes into play.
