you will not believe the license agreement. the long and short of it is eeso was never about the shareholders. eeso was about jared getting rich on shareholder's backs.

All the statements and analysis are in my opinion. These are for people who undermine Jared.
I'd suggest people to think from a different perspective. Please carefully go through the Supply and Distribution Agreement (attached below) before reading further.


I have not seen anyone disputing about the product. It means the product can be sold anywhere and to anyone. Even i have posted question regarding the product and got all feedbacks which were positive.

I feel it was all along in Jared’s mind to sell the company. Jared had signed an exclusive distributorship with WOW in which also presents selling of EESO to WOW and WOW would be offered first preference. What if WOW was not prepared to buy EESO at this time as they have their own commitments to grow their business which would require substantial amount of money and resources. How would Jared persuade WOW to buy his company?

To answer this question, he needs to have a bonafide offer with the price that suits him. Hanbool made an offer to buy the company. Hence, Jared took time to negotiate a counter offer which was better than the initial offer and then he again took time to respond to the offer(time to present this offer to WOW if they are interested in buying EESO). I guess this was the triggering point for WOW, most probably which was not prepared or expecting to buy EESO at that time. Most probably WOW would have tried a desperate attempt to have some sort of backup for the products that they purchased from EESO and hence they might have tried to build their own products(alter EESO formulas). Hence this happened when the initial contract was active, WOW would have violated the original contract. This would have helped Jared even more so that he can use this violation and non-payment of purchase orders to go to the court to end the relationship so that he can sell the company at his freewill to anyone or put pressure on WOW to buy EESO.

I guess, this was the time when Allie would have brought Zimmerman as the second largest shareholder and President of WOW. This does not come free. Either Zimmerman has to shell in money to buy the shares or he has to make some arrangements to buy EESO.

So here are the possibilities:
• WOW accepts to buy EESO. Jared is a happy man.
• WOW rejects to buy EESO. Hence, due to pending cases the contract is terminated and EESO gets a small amount as settlement from WOW and EESO is free to sell company to anyone else. Jared is still a happy man..

In either of the cases, Jared and EESO is a winner. So don’t think he is stupid. My sincere advice is if a person has to run a company and has reached thus far, it cannot happen with a stupid running the company. Also, for every doubt that arises in the minds of shareholders, no one can answer all of them convincingly.


I don't know, after thinking all these possibilities, i have suddenly developed sympathy towards Allie and his team(hope it includes Mr.Biggerstaff who enligtened me)..
