thus we should see the OS as per the numbers on AUG 28th... no 5\31\09 ..

ok that's the key. Share structure will be shown as of 8/28, not 5/31 which is the close of fiscal year..

Similar to the balance sheet and income statement, there is a Shareholder's Statement of Equity that will show as it existed at 5/31/2009.

Then, somehwere else in the 10K, again normally in the section called 'Subsequent Events' you will see verbiage discussing updated share structure between 5/31 and the filing date.
