On July 9, 2009, CHDT Corporation (“Company”) entered into a Stock Purchase Agreement (“Agreement”) with Involve, LLC, a private Florida limited liability company, (“Investor”) whereby the Company sold 1,000 restricted shares of a newly authorized Series C Convertible Preferred Stock, $1.00 par value per share, of the Company (“Series C Stock”) for $700 per share or for an aggregate purchase price of $700,000.
