It's not just the lawyers , Gibber , it is the internal control auditors who must ensure that EverMedia is squeaky clean on all corporate and patent matters . EverMedia's technology is one thing to EDS / H.P. ....a microcosm in their macrocosm .
The last thing EDS / H.P. would tolerate is a lawsuit from
any other company claiming patent infringement for EverMedia's patented I.P. against EDS / H.P.
Consequently , the internal control auditors would be scanning planet earth for any possible prior art that could end up costing them a lot more than they could gain from partnering with EverMedia .
As well , EDS / H.P. would need to audit EverMedia's books
to ensure the company is viable .
A lot more complicated than lawyers doing their lawyering thingy .
