16. These claims are false. PAIM has no equity in PAIM Philippines, does not have any claim over PAIM Philippines' mining assets or operations, and is not entitled to receive any of the profit. In fact, PAIM Philippines is a separate company that is 96% owned by Gamboa. Gamboa never disclosed her controlling shareholder interest in PAIM Philippines or the lack of any direct legal relationship between PAIM Philippines and PAIM.

17. PAIM falsely stated in its 2007 disclosure and financial statements posted on www.pinksheets.com that its directors did not own more than 5% of PAIM stock. Yet Gamboa, PAIM's chairman, has been a controlling shareholder of PAIM. She stated in an email in May 2007 that she owned 2..8 billion shares of purportedly unrestricted PAIM stock, which constituted at least 28% of PAIM's then total shares outstanding.

C. PAIM's Unregistered Offerings and Sales of Stock

22. From September 2006 to March 2008, PAIM sold approximately 1.9 billion shares of purportedly unrestricted, or so-called "free trading," PAIM common stock to a New York entity and its affiliates (the "New York Entity"). PAIM never filed any registration statement with respect to the offer and sale of such shares.

Isn't it interesting that a certain someone continually mentioned the fact that "financial data was filed with the SEC", which is what made this such a wonderful investment, and in fact, the SEC is now pointing out how that was all total BS. How many times did that certain someone make such comments as, "How many Pink Sheet companies file Disclosure Statements"? It's also interesting that we haven't heard from that innocent "investor" for quite some time. I'm curious about them looking into other aspects, such as the "debentures" that were forced into conversion. I never did understand how they got away with that one. Not to mention the obvious conflict of interest in having a sibling as the transfer agent. It seems this could become MUCH more interesting than reading her pathetic "company statements", even though I am looking forward to more of those PR's, explaining to shareholders how there's nothing to worry about.

Nice to see all that, but it's pretty much all things that we figured out years ago and posted right here.

Oh well, at least they are finally going to nail her.
