OMDA is not a sole proprietership. OMDA is a corporation. Assuming Adam bought 100% of OMDA -- which he never will do, although he might pull a Bugsy Seigel and sell more than 100% a few times over -- he still legally could not raid the company's assets. Yet he has while owning a minority position.
