The Company previously disclosed on a Form 8-K, dated April 6, 2009, that as of March 31, 2009 the Company had issued an aggregate of 3,038,836 shares of common stock upon the conversion of an aggregate of $2,149,552.18 of Debenture principal. In addition, the Company issued an aggregate of 200,000 shares of its restricted Company common stock in connection with the Debenture holders agreeing to execute the Amendments.
