Meaning... the deal cannot be finalized until we understand the strudture of the new company... IE: legally they need to have the R&H structure in place before we plop us in there... besides look at the numbers?

The two numbers, $2.5 billion and $500 million seem to add up to the nice round $3 billion in investments DOW may be receiving from two of the major shareholders in Rohm & Haas.

After reading that article, I think that paragraph means that the "equity offering" will be closed (as in finalized) when the buyout of Rohm & Haas has been completed (everything becomes DOW's).

After Ramses Acquisition Corp merges with and into the Rohm and Haas Company, DOW will then complete their equity offering for the Rohm and Haas Company. If EESO were part of that offering in any shape, fashion, or form, they would have said so.
