The killer factor in my view is that the company has elected to go dark with respect to financial reporting and disclosure and is not held accountable to the shareholders. Make no mistake, most small publics are run for the primary benefit of management. The risk escalates enormously when the company does not even bother telling the shareholders what becomes of their money. Any windfalls will be eaten up by bonuses, consulting arrangements and management benefits. Has anyone ever seen a case where a dark company proved ultimately profitable to the shareholders?
