Disclosure that they were paid those shares is all that is needed
stating that they sold the compensation is a bad signal and could mean they do not believe in the Company. I went to their website and they seem to have lots of business so I doubt that they dumped 45k shares because they were broke. I am snooping around other financial websites for additional info.

What are you guys worried about? They state right on the website that they were paid stock from Shareholder Development Group and that they sold the shares to remove their conflict of interest.

45,000 x 0.25 = $11,250

This company doesn't invest in companies. They get paid to provide information to their clients. Once they sell their shares they put out a little info and move on to the next stock. I wouldn't worry about the compensation.
