This is the way I understand it, Trader. Spooz and the shareholders own Spooztoolz, and John is the coder who writes the API's to integrate the systems into say, Bloomberg Tradebook, for example. John gets to keep the money for the installation process, but Spooz owns the program and the license. Therefore, the licensing fees are payable to Spooz.

Spooz might have wanted to do the entire process in-house, and they did for a while, but it's hard to do when major revenues aren't streaming in. So to be fair to John and Spooz, this relationship was worked out. It still preserves the value of Spooztoolz to the shareholders, but it allows John to get paid, and rightfully so, for the work he has done to integrate the programs into other systems.

At least thats the way I understand it.
