I have no idea if an R/S is considered routine or not, nor am I clear on how brokers do proxy votes. That link I provided is a good read on that subject though.
My guess is that the company views an R/S as routine since it is, in theory, just a change in price/share ratio.
IMHO, what makes this not a routine matter is that reducing the number of shares issued and outstanding but not doing the same to the authorized shares would change the proportion of the former to the later.
