We issued our stock in aprivate transaction exempt from the registration requirements of the SecuritiesAct of 1933, as amended, (the "Act") pursuant to Section 4(2). The shares issuedto UTEK are considered restricted securities and may not be resold absentregistration with the Act or an exemption from the registration requirements ofthe Act.
