It's pretty universally accepted that any provision in a contract that is clearly intended to benefit one party may be waived by that party.

But even if YAGI waives the RS requirement, nothing prohibits the BOD from trying to do it anyway.

The real purpose of the provision you bolded is to allow YAGI, if wants to, to relieve NEOM of having to strictly comply with every jot and tittle (I like that phrase) of the conditions. Sort of like: "OK, close enough, here's your money."
